We are happy that you wish to take part in the Viber Pay 2-Sided Referral promotion (the "Promotion").

These terms & conditions (the "Terms") govern your participation in the Promotion. By participating in the Promotion, you agree to be bound by these Terms, so please read these Terms carefully. If you do not agree to be bound by these Terms, you should refrain from participating in the Promotion. "Viber" means Viber Media S.à r.l., a company incorporated in the Grand Duchy of Luxembourg, having offices at 2 rue du Fossé, L-1536 Luxembourg.

Participants. In order to be eligible for the Promotion, you (or the “Referrer”) must have an active Viber Pay account, and have the Viber App on your mobile device and have passed full verification.

1. The Promotion:

1.1. In order to take part in the Promotion you must share your unique link with someone else (the “Recipient”). The Recipient need not be on Viber at the time of sharing but they must:

1.1.1. meet Viber’s eligibility criteria;

1.1.2. click your link;

1.1.3. either already be a member of Viber or join Viber;

1.1.4. be in a country where Viber Pay is available and join Viber Pay (i.e. they cannot be current members of Viber Pay or have joined previously). The Recipient will be required to pass onboarding and full verification. If they are unable to do so for any reason neither you nor the Recipient will be able to claim a Reward (as described below);

1.1.5. Use your virtual card as indicated in the Viber Pay Referral screen;

1.1.6. all of these steps must be performed by the Recipient within 7 days from agreeing to participate and before the end of the Term (if the Recipient has already begun performance and Viber terminates the Promotion the Recipient will still be able to complete within the 7 day period screen) (the “Reward Requirements”). Both you and the Recipient will lose the right to a Reward if the Recipient is unable to comply with the Reward Requirements for any reason;

1.1.7. If the above steps, these Terms and all other applicable terms are complied with, both you and the Recipient will receive a monetary value to your Viber Pay account as a reward (the “Reward”). The amount that both you and the Recipient will receive is indicated in the Viber Pay referral screen. The Reward is subject to your available balance limit, so, if you have already reached your available balance you will be required to undertake full verification before you can receive your Reward.

1.1.8. Both you and the Recipient will receive a notification when the Reward is paid.

1.1.9. Note, a Recipient can only be paid once for joining Viber Pay under a referral campaign.

1.2. The maximum reward value you can get during the Term of the Promotion is indicated in the Viber Pay Referral screen. If you exceed this, you can still refer people but you will not receive a Reward. The Recipient may still obtain a Reward if stated in the Viber Pay referral screen.

1.3. Viber may prohibit you or a Recipient from participating in the Promotion or winning a Reward (or any other action it deems appropriate) if, in its sole discretion, it determines that you or a Recipient are attempting to undermine the legitimate operation of the Promotion by fraud, cheating, hacking, deception, other unfair practice or are in non compliance with applicable Viber terms or applicable law relevant to the Promotion. You/ the Recipient must complete all steps required and pass all eligibility criteria to receive a Reward. If you are unable to do so for any reason within 45 days after the notification mentioned in 1.1.7. you / the Recipient will lose the right to a Reward.

1.4. The Promotion shall take place from the date it is available to the Referrer until terminated by us (the “Term”).

1.5. Viber may, at its sole discretion, and at any time i. cancel any outstanding Reward granted (or any part thereof), or ii. require you or the Recipient to repay the amount corresponding to the reward value (or any overpayment), or iii. recover the amount corresponding to the reward value (or any overpayment) , if the Reward (or any part thereof) is granted: i. in contravention to these Terms, ii. any applicable law, or iii. in error.

1.6. You and the respective Recipient of a Reward are solely responsible for handling any tax obligations that apply to it as a result of receipt of a Reward.

2. Limitation of Liability:

2.1. VIBER AND EACH OF ITS AFFILIATES, AND/OR EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SERVANTS OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGE ARISING FROM YOUR PARTICIPATION IN THE PROMOTION INCLUDING ANY CLAIM RELATED TO THE REWARDS. THESE EXCLUSIONS INCLUDE, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF VIBER HAD BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, VIBER'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

2.2. AS A CONDITION OF YOUR PARTICIPATION IN THE PROMOTION, YOU AGREE TO RELEASE VIBER AND EACH OF ITS AFFILIATES, AND/OR EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, SERVANTS OR AGENTS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROM AND AGAINST ANY AND ALL LIABILITY, LOSS, CLAIMS, DEMANDS OR ACTIONS OF ANY KIND WHATSOEVER FOR INJURIES, DAMAGES, OR LOSSES TO PERSONS OR PROPERTY WHICH MAY BE SUSTAINED IN CONNECTION WITH PARTICIPATING IN ANY ASPECT OF THE PROMOTION;

3. General:

3.1. Viber reserves the right to change, modify, suspend and/or cancel the Promotion or any part thereof for any and all Participants at any time (including by way of changing dates, limiting the use of the Prize, changing the criteria for winning a Prize, adding or reducing the number of Prizes (or amount of a Prize), or canceling any and all Prizes), or discontinue this Promotion at any time, without notice if Viber determines there is any abuse or misuse of this Promotion at Viber’s sole discretion or for reasons outside Viber’s control, including, without limitation, in the event of changes in applicable law, instructions issued by a competent authority, or force majeure events, and without any liability on Viber’s part. Viber’s decisions on all matters involving the Promotion will be final and binding.

3.2. Modification, Substitution, and Cancellation Rights

3.2.1. General Right to Modify or Cancel: Viber reserves the right to change, modify, suspend, and/or cancel the Promotion or any part thereof (including by way of changing dates, limiting the use of the Prize, changing the criteria for winning a Prize, or adjusting the Prizes), subject to the following principles:

Prior to Performance: Viber may cancel the Promotion entirely at any time prior to you and the respective Recipient fulfilling the required steps under Clause 1 of these Terms.
During Performance: If the Promotion is already underway, Viber may modify or cancel the Promotion, provided that Viber either substitutes the Prize with an alternative of equivalent value or ensures a pro-rata distribution of the equivalent benefit accrued by Participants up until the date of such modification or cancellation.

3.2.2. Termination for Cause or External Factors: Separately from the rights granted above, Viber may immediately discontinue or cancel this Promotion at any time, without notice and without any liability on Viber's part, under any of the following circumstances: a) Viber determines there is any abuse or misuse of this Promotion, b) it is required in the event of changes in applicable law or instructions issued by a competent authority, c) For reasons outside Viber’s For reasons outside of Viber’s reasonable control (including, without limitation, force majeure events), or if circumstances arise that would make proceeding with the Promotion substantially more commercially or operationally onerous than originally envisaged.

3.2.3. Viber’s decisions on all matters involving the Promotion will be final and binding.

3.3. The Promotion and these Terms will be governed by the laws of Bulgaria. Any disputes will be subject to the jurisdiction of the competent court located in Bulgaria or the respective EU Member State the Referrer or Participant is resident of.

3.4. No purchase is required to enter the Promotion.

3.5. By participating in the Promotion, you and the respective Recipient acknowledge that he has read and agrees to these Terms and shall grant Viber explicit consent to collect and process your and/ or his/her personal data for the purposes specified in these Terms.
